Sam Smith x Billboard ChartStars Collectibles Terms & Conditions

Availability:

• Sam Smith x Billboard August 2022 cover collectibles (“SSBA Collectible(s)”) are available beginning August 17, 2022 11am PT’.
• A total of two hundred and ten (210) SSBA Collectibles will be minted, two hundred (200) of which will be available for purchase.
• These SSBA Collectibles will fall into two separate tiers, “Common Collectibles” and “Rare Collectibles.”

• No additional SSBA Collectibles will be created.
• SSBA Collectibles will become available on the following schedule and at the following pricing

** Note: Billboard ChartStars retains the right to release drops earlier than scheduled, at the agreed upon price increase, in the event of a fast sellout of the preceding drops.

Benefits:

• Each SSBA Common Collectible will provide the benefits of:

• A digital copy of Sam’s August 2022 Billboard cover (the “Digital Cover Benefit”).
• A behind the scenes video clip from the cover shoot (the “Video Clip Benefit”)
• An audio clip from the cover shoot (the “Audio Clip Benefit”)
• The Digital Cover Benefit, the Video Clip Benefit and the Audio Clip Benefit are, collectively, the “Common Benefits.”
• Each SSBA Rare Collectible will provide all of the Common Benefits as well as the benefits of:
  • Access (i.e. two tickets) to a single Billboard event (the “Billboard Event”), of the purchaser’s (“Purchaser(s)” choice (the “Billboard Event Benefit”), for any Billboard Event held within one (1) year from time of purchase.
    • Options may include events such as Latin Music Week, LA3C, Women in Music, and Billboard events conducted at SXSW.
  • Access (i.e., two tickets) to a single Sam Smith concert event (the “Concert Event”), of the Purchaser’s choice (the “Concert Event Benefit”), for any Sam Smith concert held within one (1) year from the time of purchase.
    • A concert will only be deemed a Concert Event if it is part of a tour by Sam Smith and not a Sam Smith performance which is part of a festival or another performer’s tour, or the like.
  • The Billboard Event Benefit and the Concert Event Benefit, together with the Common Benefits are, collectively, the “Rare Benefits.”
• Purchase is contingent on Purchasers accepting the Billboard ChartStars terms of service, PMC’s and Unblocked’s privacy policies and any applicable content license(s).

Delivery of Benefits:

• Communications from Unblocked or Billboard to Purchasers will be via the email address provided by Purchasers in opening the Purchasers’ Billboard ChartStars accounts.
• Within thirty (30) days after the SSBA Collectibles go on sale Unblocked will email all Purchasers with corresponding benefit files.
• Billboard (or Unblocked) will reach out to each Rare Collectible Purchaser promptly after Billboard announces a new Billboard Event and the Purchaser will have thirty (30) days prior to the scheduled first day of the Billboard Event to advise Billboard (or Unblocked) if tickets are desired and where in the United States they should be sent (if online access is not available). Purchasers failing to advise Billboard (or Unblocked)  in the time allotted are not guaranteed entrance to the Billboard Event. If online access is not available tickets may only be sent to an address in the United States.
• Two (2) tickets will be issued for the Billboard Event of a Purchaser’s choosing.
• Once tickets are  redeemed Purchasers are ineligible to receive free tickets to future events.
• Lodging and transportation will not be provided for any Billboard Event. Only tickets for entry will be provided by Unblocked or  Billboard.
• Billboard (or Unblocked) will also reach out to each Rare Collectible Purchaser promptly after Sam Smith announces their tour dates and locations.
• Two (2) tickets will be issued for the Concert Event of a Purchaser’s choosing.
• Once tickets are  redeemed Purchasers are ineligible to receive free tickets to future concerts.
• Lodging and transportation will not be provided for any Concert Event. Only tickets for entry will be provided by Unblocked or  Billboard.

Resale:

• The Billboard ChartStars’ marketplace, which is not yet open, will eventually allow for the option of reselling SSBA Collectibles in a so-called “secondary market.” This option will not immediately be available at the time of purchase. However, when such option does become available, if any SSBA Collectible is sold on the secondary market the original Purchaser forfeits any unredeemed Common Benefits and/or Rare Benefits, as applicable.  Moreover, the secondary purchaser (i.e., the holder of the SSBA Collectible after purchase from the original purchaser) is not entitled to any Common Benefits and/or Rare Benefits. In other words, and for clarity, no Common Benefits and/or Rare Benefits transfer  to the holder of the SSBA Collectible if said holder is not the original purchaser and the original purchaser loses the right to redeem any Common Benefits and/or Rare Benefits.

Wallet Transfers & Ownership:

• All Purchaser accounts will be tied to a corresponding wallet created by Billboard ChartStars. Assets originating on Billboard ChartStars will not be withdrawable to third party wallets, at this time.
